MASTER SERVICES AGREEMENT & WEB DESIGN CONTRACT

Project Scope: The Designer will perform website design and development services based exclusively on the website package selected by the Client within this digital form.

Exclusions: Any features, pages, functionality, or revisions not explicitly outlined in the selected package specifications are considered out-of-scope and will require a separate, signed Change Order and additional fees.

Non-Refundable Deposit: To secure a project slot on the Designer's production calendar, the Client must pay a non-refundable deposit via the integrated Stripe gateway at the time of signing. No project strategy, design, or development work will commence until this deposit is cleared.

Standard Payment Option: Unless a Payment Plan is selected, the standard billing structure requires fifty percent (50%) of the total project fee upfront as a deposit, and the remaining fifty percent (50%) due immediately upon project completion prior to website launch.

Reservation of Rights: The Designer explicitly retains full, absolute intellectual property rights, source code ownership, design rights, and administrative control over the website, its assets, and all related deliverables throughout the production process.

Transfer of Ownership: Full ownership of the final website will transfer to the Client if and only if the project balance has been paid in full to the Designer.

Withholding of Assets: Under no circumstances will website files be transferred, hosting accounts transferred, domain names linked, or live sites launched if there is an active outstanding balance on the Client's account.

Payment Failure: If a payment installment fails or remains unpaid for more than seven (7) calendar days past the invoice due date, the Designer reserves the immediate right to suspend all active design work and take down or restrict access to any staging/development sites without liability.

Breach of Contract & Debt Collection: Continued failure to pay invoices in full constitutes a material breach of this Agreement. The Designer will take strict legal action to recover all outstanding project fees.

Recovery Costs: In the event that legal counsel, an independent collections agency, or court filings are required to secure unpaid balances, the Client shall be held exclusively liable for all accumulated legal fees, attorney costs, interest, and processing collections fees incurred by the Designer.

Approved Channels: All project communication, asset sharing, and structural feedback must occur via Official Email (zain@z3roai.com) or WhatsApp (+44 7514 463645). General project correspondence will not be accepted via social media direct messaging (DMs) or standard SMS text messages.

Operational Hours: The Designer operates on an open schedule, monitoring projects and processing work all day, every day. However, operations are entirely bound to the Greenwich Mean Time (GMT) zone. Due to this continuous workload model, the Designer may experience occasional, temporary communication downtime for rest, tech maintenance, or time zone offsets. The Client acknowledges that responses may not be instantaneous during these windows.

Content Delivery: The Client agrees to provide all text copy, high-resolution imagery, logos, and account access credentials within fourteen (14) days of signing this Agreement.

Project Stagnation: If the project is delayed by more than twenty-one (21) days due to a lack of feedback, communication, or asset delivery from the Client, the project will be placed on "Archived" status. Reactivating an archived project will require a mandatory £250 / $250 restart fee to re-allocate design resources.

Included Revisions: The project includes up to two (2) Hours of consolidated structural and design revisions during the design review phase. Requests made after coding has begun will require a separate quote.

Estimated Timeline: Standard website packages carry an estimated completion timeline based on the project complexity discussed. Timelines are professional guidelines and remain dependent on swift client responses.

Force Majeure & Platform Issues: The Designer is not liable for project delays caused by client communication lags, third-party software outages (e.g., WordPress/Webflow server bugs, Shopify downtime), or platform migration errors beyond the Designer's reasonable control.

Launch Approval: Once the final invoice is settled, the website will be deployed to a live domain. The Client will have a 14-day post-launch "warranty window" to report any broken links or minor display bugs, which the Designer will fix free of charge.

Exclusions: This contract does not include ongoing monthly website maintenance, plugin updates, search engine optimization (SEO) performance guarantees, copy updates, or web hosting management. Any work requested after the 14-day post-launch window will be billed under a separate monthly retainer or at the Designer's standard hourly rate.
